One of the values of a strong and defensible patent are the claims that show that large & profitable companies are selling profitable products that include features of your patent. A buyer would need to be confident that they could sue the profitable company into an agreement to pay past and future royalties that would generate far more money than the sizable cost of time and money of suing. And then there is the risk of having the case dismissed, loosing at trial and loosing on appeal in a different court.
All of this is why the price paid to you is much lower that you think your patent is worth.
The process of creating the patent infringing and the post-trial royalty agreement is also very expensive and time consuming.
A company that would buy a patent solely to sue another is sometimes called a Troll.
Another scenario is when your patent covers profitable products you are selling and it can be shown that the infringing company has been selling profitable products that have decreased your sales. Coming up with the long term data is a difficult process. How do you show much money you lost over time and how much did they profit. The problem is compounded when the HQ of the infringing company is in another country.
Another Scenario is when you are selling the brand and rights of manufacturing and distribution. There is a value with a strong patent and a lesser value with-out. There are several factors that go into establishing the value of the patent part of the deal.
